Gas Spring Factory & OEM Manufacturer

Shipping & After-Sales Terms

Last updated: September 2, 2026

These Shipping & After-Sales Terms apply to all inquiries, quotations, orders and deliveries of gas springs and gas struts supplied by the Seller to business customers ("the Buyer"). They cover minimum order quantity (MOQ), lead time, ordering procedure, shipping and claims handling. Any order is placed on the basis of these terms together with the Seller’s quotation and Proforma Invoice (PI). If there is any conflict, the PI and order confirmation prevail.

1. Minimum Order Quantity (MOQ)

  • Standard MOQ: 300 PCS per gas spring model / specification (per item) for mass production.
  • Different models, forces or end fittings are counted separately toward the MOQ.
  • Small trial orders below MOQ may be accepted case by case at the Seller’s discretion; terms are confirmed in the quotation.
  • Sample orders: samples are welcome before mass production. Sample charges and quantities follow the quotation; sample cost is usually deducted from, or credited against, the first mass order as agreed in writing.

2. Customization and Drawings

We are a factory OEM/ODM manufacturer. The Buyer may send samples or drawings and request customized force, stroke, outer diameter, end fittings and other parameters. Customized products are produced strictly to the confirmed sample or drawing. The Buyer should ensure that all technical information provided is accurate and complete; the Seller is not liable for errors arising from incorrect or incomplete specifications supplied by the Buyer. Tooling or special set-up costs, if any, are agreed before production.

3. Quotation and Price

  • Prices are quoted in the currency and Incoterm stated on the quotation (EXW, FOB, CIF, DDP and others available).
  • Each quotation indicates its validity period; prices outside that period are subject to reconfirmation.
  • Quoted prices exclude import duties, taxes and charges in the destination country unless expressly stated (e.g. DDP terms).

4. Order Procedure

  1. Inquiry: Send your requirements — product type, force, stroke, extended/compressed length, outer diameter, end fittings, quantity, application and, if available, drawings, photos or samples.
  2. Quotation & technical confirmation: We confirm specifications, price, MOQ and lead time; for customized items we confirm feasibility against your sample or drawing.
  3. Sample approval (if applicable): Samples are produced and sent for your approval before mass production.
  4. Proforma Invoice (PI): We issue a PI with final specifications, quantity, unit price, total amount, Incoterm and delivery date. The order becomes binding when the Buyer confirms the PI and pays the agreed deposit.
  5. Production & inspection: Production starts after deposit receipt and sample approval; all goods undergo 100% inspection before shipment.
  6. Balance payment & shipment: The balance is paid before shipment. We then pack and ship, and provide shipping documents.
  7. Documents: Commercial invoice, packing list, bill of lading / airway bill and other documents (e.g. Certificate of Origin, test reports) as agreed.

5. Lead Time

  • Standard production lead time: 15–25 working days, counted from receipt of the order deposit and final technical confirmation (including sample approval) for standard models.
  • Sample lead time and customized orders may differ; the exact delivery date is always stated on the PI / order confirmation.
  • Shipping time is not included in the production lead time and depends on the destination, transport mode and Incoterm.
  • Force majeure (see Section 10) may extend the lead time; we will notify the Buyer as soon as reasonably possible.

6. Packaging

Products are packed for export shipping in accordance with their size, quantity and transport mode: standard export cartons, wooden cases or pallets, with inner protective packing. Custom packaging and private-label cartons/manuals are available on request and confirmed in the quotation.

7. Shipping, Delivery and Risk

  • We arrange shipment based on the agreed Incoterm; freight is quoted separately or included as agreed.
  • Risk of loss or damage passes to the Buyer at the point defined by the agreed Incoterm.
  • For EXW/FOB/FCA terms the Buyer is responsible for main carriage, insurance and import clearance; for DDP terms we arrange delivery to the agreed address.
  • Import duties, taxes and customs clearance in the destination country are the Buyer’s responsibility unless DDP (or another all-inclusive term) is agreed.
  • Upon receipt, the Buyer should inspect the goods and packaging immediately and note any shortage or damage on the carrier’s documents before signing.

8. Inspection and Claims

  • All products are 100% inspected and tested against the confirmed specifications before shipment.
  • Claims for quantity shortage or transit damage must be reported to the Seller within 7 calendar days of receipt, together with photos and the carrier’s signed delivery note.
  • Claims for quality defects must be reported within 7 calendar days of discovery, supported by photos, videos or samples and the batch/order number.
  • We will evaluate each claim within 5 working days and propose a remedy. Claims made after the periods above, or for products altered, disassembled or misused by the Buyer, may not be accepted.

9. Force Majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including but not limited to natural disasters, epidemics, war, embargoes, government actions, energy or raw-material shortages, transport disruptions and supplier failures. The affected party shall notify the other promptly, and performance deadlines shall be extended by the duration of the event.

10. Limitation of Liability

To the maximum extent permitted by law, the Seller’s total liability arising from or in connection with any order shall not exceed the contract value of the goods giving rise to the claim. The Seller shall not be liable for indirect, incidental, special or consequential damages, including loss of profit, production stoppage or business interruption.

11. Governing Law and Disputes

These terms are governed by internationally recognized trade practices (including the CISG where applicable) and, to the extent not excluded, the laws of the Seller’s jurisdiction. The parties shall first attempt to settle any dispute amicably through negotiation; if no settlement is reached within 30 days, the dispute shall be submitted to arbitration or the competent court as agreed in the order confirmation.
